Terms
SilvaMux Terms of Service
Welcome to the SilvaMux International Platform (hereinafter referred to as "SilvaMux", "we", "us", "our", or the "Platform"). These Terms of Service (the "Terms") constitute an agreement between you and TINGYU (SINGAPORE) TECH PTE. LTD. regarding your registration, login, access to, and use of the SilvaMux website, console, application programming interfaces (APIs), model gateway, developer documentation, model marketplace, organization management, billing, and related services.
Before registering, logging in, creating an organization, generating an API Key, topping up your balance, purchasing services, or calling any API, please carefully read, fully understand, and accept these Terms and the SilvaMux International Platform Privacy Policy. By clicking to agree, completing registration, logging in, calling an API, purchasing services, or otherwise actually using the Platform, you acknowledge that you have read and agree to comply with these Terms. If you do not agree to these Terms, please do not register for or use the Platform.
If you use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to accept these Terms on behalf of that entity. In such case, "you" refers both to that entity and to the individual using the Platform on its behalf. You and that entity shall be responsible for the account, organization, members, API Keys, balance, usage, orders, Interaction Data, and other activities conducted through the Platform.
1. Definitions and Scope
- Platform: the SilvaMux International Platform website, console, APIs, model gateway, developer documentation, model marketplace, SDKs, organization management, billing system, and other related products and services provided by us.
- User: any natural person, legal person, unincorporated organization, or other entity that registers for, logs in to, accesses, or uses the Platform.
- Account: the SilvaMux account obtained by a User after verification through email, password, single sign-on, or other methods made available by us, together with the organizations, projects, members, configurations, balances, usage, API Keys, orders, bills, and business data under that account.
- Organization: an enterprise, team, or project entity created, joined, or managed by a User on the Platform. Organization administrators may manage members, projects, API Keys, bills, balances, and permissions according to the Platform's capabilities.
- API Key / Access Credentials: API Keys, Access Keys, Secret Keys, JWTs, tokens, verification codes, session information, and other credentials used to access the Platform or initiate model calls.
- Third-Party Model Service Provider: a third-party service provider that provides model inference, text, image, audio, video, multimodal, or other AI capabilities to Users through or in cooperation with the Platform.
- Interaction Data: prompts, messages, code, images, audio, videos, files, parameters, materials, task results, and other content that you input, upload, process, generate, store, distribute, or download through the Platform or APIs.
These Terms apply to your access to and use of all functions and services of the Platform. Where specific services are subject to separate orders, enterprise agreements, data processing agreements, security addenda, pricing descriptions, promotional rules, developer documentation, or page notices, such materials form part of the agreement between the parties together with these Terms. In the event of conflict, the written agreement or special rules applicable to the specific service shall prevail.
2. Account Registration, Login, and Security
The Platform may provide email registration, email login, password login, single sign-on, enterprise invitation, verification codes, human verification, or other login methods according to actual availability. Based on security, compliance, anti-abuse, sanctions screening, export control, payment risk control, or business risk considerations, we may require you to provide additional verification information, or may refuse, suspend, restrict, or terminate the use of an account, organization, or certain functions.
You shall provide true, accurate, and complete information and promptly update such information when it changes. Account type, organization verification status, billing information, and enterprise information may affect the services available to you, purchasing methods, billing plans, tax treatment, invoices, model permissions, quotas, and compliance requirements. The specific rules shall be subject to what is displayed on the Platform at the relevant time or otherwise agreed in writing by the parties.
You shall properly safeguard your account, password, multi-factor authentication information, verification codes, API Keys, Access Keys, Secret Keys, JWTs, tokens, and other access credentials. You shall not sell, rent, lend, share, publicly disclose, illegally transfer, upload them to public code repositories, embed them in publicly accessible front-end code, or otherwise handle them in an insecure manner. Operations completed through valid credentials shall, in principle, be deemed to be acts of the account holder, organization administrator, or their authorized personnel.
If losses, charges, data leakage, or third-party claims arise from your voluntary disclosure, configuration errors, negligent permission management, improper use by Authorized Users, client-side exposure, third-party plug-in risks, fraud, attacks, or other causes not attributable to our fault, you shall bear the corresponding consequences. If you discover credential leakage, account abnormality, or unauthorized operation, you shall immediately change your password, revoke or rotate the relevant credentials, and notify us through the contact method specified in these Terms.
Before necessary security verification is completed, we reserve the right to refuse account recovery, credential rebinding, organization permission changes, account cancellation, refunds, withdrawals, balance transfers, or other high-risk operations.
3. Organizations, Members, and End Users
The Platform supports organization accounts, projects, member invitations, permission management, API Key management, balances, billing, usage attribution, and model permission configurations. Organization administrators shall properly manage organization verification information, member permissions, login credentials, API Keys, and scopes of use.
If you use the Platform on behalf of an enterprise or organization, these Terms shall be effective not only between us and you, but also between us and such enterprise or organization. That enterprise or organization shall be responsible for all activities conducted under its account, organization, members, associated users, and authorized users on the Platform, including without limitation using services, topping up balances, submitting Interaction Data, calling APIs, managing members, issuing invoices, configuring models, and processing end-user data. That enterprise or organization may not claim exemption from or reduction of liability on the grounds of account lending, personnel departure, improper internal permissions, or actions exceeding authority by authorized users.
If you integrate the Platform into your own products or services, you shall ensure that your employees, contractors, agents, customers, application users, and other end users who indirectly use the Platform through your products (collectively, "Authorized Users") comply with these Terms, developer documentation, acceptable use rules, applicable laws, and applicable rules of Third-Party Model Service Providers. You shall also provide end users with necessary terms, privacy notices, AI-generated content notices, consent mechanisms, human review mechanisms, and complaint channels.
4. Fees, Balance, Payment, and Invoices
The Platform may use prepaid balances, credits, usage-based billing, packages, subscriptions, invoices, post-payment, or other billing methods separately agreed by the parties. Specific prices, billing units, unit prices, discounts, deduction order, balance rules, package contents, free quotas, promotional quotas, validity periods, minimum top-up amounts, currencies, taxes, and payment methods shall be subject to the purchase page, console, pricing page, order, developer documentation, or written agreement between the parties. By choosing to use paid services, you agree to the pricing and payment terms then applicable to the Platform and agree that we may monitor and process necessary usage data for billing purposes.
You understand and agree that:
- API requests may be billed based on input tokens, output tokens, cached tokens, number of images, video duration, resolution, task parameters, model type, supplier pricing, concurrency, storage, bandwidth, or other dimensions.
- Certain requests may use estimated fees, pre-deduction, and post-settlement mechanisms. Final fees shall be subject to actual usage and the Platform bill.
- If the balance is insufficient, quota is exceeded, overdraft limits are reached, payment fails, abnormal risk exists, or the account is frozen, requests may be refused, suspended, or delayed, and you shall bear the resulting business impact.
- The scope of use, validity period, and refund conditions for top-ups, gifted quotas, coupons, promotional credits, or other benefits shall be subject to the rules applicable when they are obtained. Except where mandatorily required by law, due to Platform fault, expressly promised by the Platform, or otherwise agreed in writing by the parties, credited top-up balances, purchased credits, consumed services, promotional quotas, gifted quotas, and third-party payment fees are generally non-refundable, non-withdrawable, non-transferable, and not redeemable for cash.
- Taxes, exchange rates, bank fees, payment service provider fees, refund fees, chargeback fees, or cross-border payment fees may be borne by you.
- You shall promptly verify bills, usage, balances, and invoice information. If you dispute a bill or charge, you shall contact us within a reasonable period and provide necessary order numbers, request IDs, call times, project information, or account information.
- You may apply for invoices or receipts according to Platform rules and shall ensure that the invoicing entity, tax information, contact information, and other materials are true, accurate, and complete.
We may adjust prices, billing units, discounts, promotional policies, or payment methods. For price changes that have a material adverse effect on you, we will use reasonable efforts to notify you in advance. If you do not agree to such changes, you shall stop using the relevant services.
5. Tax Terms
Users shall comply with all tax laws, regulations, and policies applicable to them and shall independently perform tax filing, tax payment, and other tax compliance obligations in accordance with applicable law.
Service fees under these Terms do not include any applicable taxes, including without limitation value-added tax, sales tax, goods and services tax, withholding income tax, and other similar taxes (collectively, "Taxes"). All fees and settlements under these Terms are denominated in U.S. dollars (USD) by default. You shall bear all Taxes arising from your use of the Platform services and completion of related transactions, or required to be paid or collected by law or administrative authorities.
If applicable law or administrative authorities require the Platform provider to pay or collect any applicable indirect taxes or other similar taxes, you shall pay such Taxes to us together with the service fees.
If applicable law requires a User to deduct or withhold any tax from service fees payable to the Platform provider under these Terms, you shall:
(1) promptly notify us in writing of such deduction or withholding requirement and its legal basis;
(2) pay the Platform such additional amount as is necessary to ensure that the net amount received by us after any deduction or withholding equals the full amount that the Platform provider would have received in the absence of such deduction or withholding; and
(3) provide us, within a reasonable period after completing the deduction or withholding, with tax payment certificates or other official documents evidencing that the deducted or withheld amount has been paid to the relevant tax authority.
If the User fails to timely and fully perform the foregoing deduction, withholding, or notice obligations, causing any losses, penalties, or expenses to the Platform provider, the User shall fully indemnify the Platform provider.
The charging rules in this section are framework terms. Specific fee items, billing standards, tax-inclusive status, and settlement methods shall be subject to the quotations, order pages, separate written agreements, or orders displayed by the Platform at the relevant time. In case of inconsistency, the specific quotation or order shall prevail.
6. Platform Services and License to Use
SilvaMux is an AI model access and management platform for developers and enterprise customers. It mainly provides:
- model and API access services as actually displayed on the Platform;
- text, image, audio, video, multimodal understanding, model routing, and task processing capabilities;
- API Key management, call records, usage attribution, balances, bills, exports, organization member management, and project management capabilities; and
- other services displayed on the official website, console, developer documentation, or in written agreements between the parties.
Subject to your continued compliance with these Terms, developer documentation, and related rules, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the services solely for lawful internal or business purposes of you or the organization you represent. Rights not expressly granted to you under these Terms are reserved by us or the relevant rights holders.
The Platform may add, change, suspend, or remove models, suppliers, interfaces, prices, routing strategies, functions, service regions, quotas, or availability. We will notify material changes through page announcements, console notices, emails, developer documentation, or other means to the extent reasonably practicable. In cases of emergency security incidents, illegal risks, sudden upstream failures, supplier requirements, or regulatory requirements, we may be unable to provide advance notice.
Beta functions, trial quotas, gifted balances, promotional credits, or other free benefits may have specified purposes, periods, and conditions of use, and may expire, become invalid, or be revoked according to campaign rules. Unless expressly stated otherwise by the Platform, such benefits may not be exchanged for cash, withdrawn, or transferred, and do not constitute our commitment to continue providing equivalent free services.
7. Special Notice on AI Services
The Platform may aggregate capabilities of Third-Party Model Service Providers. Model outputs are automatically generated by artificial intelligence and may contain errors, omissions, bias, inaccuracies, incompleteness, repetition, inappropriate content, infringement risks, or content unsuitable for specific purposes. We do not warrant that generated content will be completely accurate, truthful, complete, continuously available, unique, registrable, commercially usable, or suitable for your particular purpose.
Before using, publishing, disseminating, commercializing, or making important decisions based on outputs, you shall conduct necessary human review and professional judgment. You shall not use generated content as the sole basis for professional judgment in medical, legal, financial, insurance, employment, education, public safety, public services, identity recognition, credit evaluation, law enforcement, production safety, or other high-risk contexts.
You shall comply with applicable requirements regarding labeling, transparency, disclosure, data protection, consumer protection, and industry regulation for AI-generated or synthetic content. You shall not maliciously remove or tamper with explicit or implicit labels required by law or Platform rules. You shall not represent that AI output was created or reviewed by humans unless such representation is true and complies with legal requirements.
Different models may be subject to their providers' use policies, licenses, intellectual property terms, data processing rules, geographic restrictions, industry restrictions, output use restrictions, acceptable use policies, and pricing rules. By selecting and calling a relevant model, you shall also comply with the applicable third-party rules.
8. Third-Party Models, Supplier Terms, and Routing
The Platform may provide certain capabilities through Third-Party Model Service Providers, cloud service providers, infrastructure providers, payment service providers, verification service providers, email service providers, security service providers, or other partners. Third-party models and services may have their own terms and privacy policies.
You understand and agree that:
- When you use a model, supplier, or capability, you shall also comply with the applicable third-party terms.
- If these Terms conflict with third-party terms with respect to a third-party model or service, the third-party terms shall prevail within the scope of use of that model or service.
- Certain models may be unavailable, degraded, replaced, rate-limited, or suspended due to supplier policies, regional restrictions, compliance requirements, capacity, pricing, model retirement, service interruptions, or technical reasons.
- We may conduct model routing, supplier selection, degradation, retries, or failover based on availability, quality, capacity, cost, latency, compliance, data policies, or account configuration.
- If you designate, exclude, or restrict certain suppliers, the success rate of requests may decrease, latency may be affected, or certain functions may become unavailable.
- For issues caused by third-party systems, networks, policies, model quality, data processing, service adjustments, authorization failures, payment abnormalities, model unavailability, or upstream failures, we will provide reasonable assistance, but to the extent permitted by law, we shall not assume liability beyond the scope of our fault.
If you access third-party services through the Platform, or share, save, download, or process your Interaction Data on third-party services, you do so at your own risk. Unless we expressly undertake otherwise in writing, these Terms do not apply to your direct use of any third-party services.
9. Interaction Data, Inputs, and Outputs
Prompts, messages, files, images, audio, videos, parameters submitted by you through APIs or task functions, and results returned by the services are collectively referred to as "Interaction Data". You shall ensure that the source of Interaction Data is lawful and that you have obtained the rights, authorizations, licenses, or consents necessary to collect, use, process, transmit, store, disclose, and otherwise process the relevant data. Upon request by the Platform, you shall be able to provide reasonable proof of such authorizations, licenses, or consents.
To complete model calls or task requests initiated by you, the Platform will receive, parse, forward, cache, store, and return Interaction Data within the scope necessary to provide the services, and may process model names, suppliers, request times, token usage, task status, request IDs, response status, error codes, call sources, fees, and other necessary call metadata. For asynchronous tasks, the Platform may store necessary request parameters, file references, input files, and generated results during task execution and result retrieval. For specific rules, please refer to the SilvaMux International Platform Privacy Policy.
As between you and us, you retain the rights you lawfully own in input content. With respect to output content, to the extent permitted by law and not restricted by third-party terms, you may use it in accordance with these Terms; however, ownership of and usable scope for output content shall be determined comprehensively according to applicable law, the rights status of input content, rules of Model Service Providers, open-source licenses, third-party rights, and agreements between the parties. We do not warrant that output content necessarily has exclusivity, registrability, non-infringement, or commercial usability.
Unless you separately and expressly opt in, or the parties otherwise agree in writing, we will not use your API Interaction Data to train or improve our own models. We may use technical, diagnostic, performance, usage, and statistical information to maintain, operate, and improve the Platform on an aggregated, anonymized, or de-identified basis that does not identify you and cannot reasonably be associated with a specific User or organization.
You acknowledge, represent, and warrant that:
- your Interaction Data does not violate any applicable laws or regulations, third-party terms, Platform rules, or public order and good morals;
- your Interaction Data, and the Platform's processing of your Interaction Data for you under these Terms, will not infringe any third-party intellectual property rights, portrait rights, reputation rights, privacy rights, personal information rights and interests, trade secrets, contractual rights, or other lawful rights and interests;
- your Interaction Data does not contain personal information, sensitive personal information, information of minors, protected health information, payment card information, passwords, keys, state secrets, work secrets, trade secrets, export-controlled information, or other restricted data that you are not authorized to provide;
- your Interaction Data does not contain any state secret, work secret, or other sensitive information as determined by a government authority, and does not infringe any third party's confidentiality rights;
- if Interaction Data involves minors, sensitive personal information, or regulated data, you have lawfully obtained valid authorization or consent and have taken necessary protective measures;
- you will independently review, verify, and judge the accuracy, legality, safety, and suitability of output content; and
- your Interaction Data shall not contain any of the following content:
- nudity, obscenity, pornography, or sexually suggestive content; hate speech, threats, insults, or direct attacks against individuals or groups; harassment, infringement, defamation, vulgar content, or content infringing others' privacy; discriminatory content based on gender, race, ethnicity, region, religion, or similar grounds; content promoting self-harm, suicide, or excessive violence; impersonation, identity falsification, or content misleading others about your identity; illegal content or content facilitating or inciting illegal activities; malicious programs, viruses, trojans, or other harmful code; content containing personal sensitive information without the individual's consent; spam, machine-generated bulk content, or other unsolicited harassing information; or other content that violates laws or regulations or is contrary to public order and good morals.
If Interaction Data violates laws or regulations, third-party terms, or these Terms, we reserve the right to delete such Interaction Data, or suspend or terminate the relevant technical services provided to you, without prior notice.
10. Acceptable Use Rules
You shall use the Platform lawfully and reasonably and shall not engage in, assist, or facilitate any of the following conduct:
- violating any applicable laws, regulations, sanctions, export controls, industry standards, third-party terms, or Platform rules;
- generating, copying, publishing, or disseminating content prohibited by laws or regulations, or using the services to engage in illegal or criminal activities;
- infringing others' intellectual property rights, trade secrets, personal information rights and interests, privacy rights, portrait rights, reputation rights, contractual rights, or other lawful rights and interests;
- providing in Interaction Data, without lawful authorization, others' personal information, confidential information, protected data, or other content that you are not authorized to process;
- generating, disseminating, or assisting in disseminating hate, harassment, threats, violence, terrorism, pornography, exploitation, inducement of self-harm or suicide, discrimination, fraud, misleading information, false identities, deceptive deepfakes, spam, malicious code, cyberattacks, phishing, or other improper content;
- impersonating any person or enterprise, or submitting false account, enterprise, billing, tax, certification, or compliance materials;
- attacking, scanning, stress testing, or interfering with the Platform, or circumventing authentication, rate limits, geographic restrictions, model restrictions, content governance, security, access controls, or billing mechanisms;
- using false identities, bulk registration, multiple accounts, proxies, scripts, automation tools, or other means to circumvent restrictions, abuse free quotas, obtain improper benefits, or conceal the true source of use;
- sharing, selling, renting, or transferring API Keys, or using accounts to facilitate illegal, fraudulent, or bulk abusive activities;
- copying, reverse engineering, scraping, publishing benchmarks, or conducting competitive analysis of the Platform, Model Service Providers, or other Users without permission, or otherwise infringing the lawful rights and interests of the Platform or any third party;
- copying, renting, selling, transferring, licensing, reselling, distributing, or modifying any part of the services or any intellectual property of the Platform; or
- using the Platform for automated decision-making or high-risk scenarios that have a material impact on personal rights and interests without sufficient notice, consent, and human review.
If we discover or have reasonable grounds to believe that you have engaged in the foregoing conduct, we reserve the right to take measures based on the risk and severity of the violation, including identity verification, request restrictions, function suspension, credential freezing, balance freezing, model restrictions, service termination, record preservation, and reporting to competent authorities or relevant third parties.
11. Confidential Information and Intellectual Property
Information learned by either party during the use of the services that should reasonably be understood as confidential by its nature or the circumstances of disclosure, including non-public technical, business, pricing, security, supplier, model configuration, customer, product roadmap, interface limitation, beta function, and performance data, shall be protected by the receiving party using reasonable measures no less protective than those used for its own similar information, and shall not be used beyond the scope necessary to perform these Terms or disclosed to unrelated third parties. Information that is lawfully public, lawfully obtained from an authorized third party, or required to be disclosed by law is excluded.
The intellectual property rights in the Platform's software, pages, documentation, trademarks, logos, data structures, system architecture, model routing, pricing system, operational data, and other content are owned by us or the relevant rights holders. Without permission, you shall not access, sell, license, rent, modify, distribute, copy, transmit, display, publish, adapt, edit, reverse engineer, or create derivative works of any such intellectual property. All rights not expressly granted to you under these Terms are reserved by us or the relevant rights holders.
You may use APIs, SDKs, documentation, and sample code provided by us in accordance with these Terms and the developer documentation. If separate open-source licenses or special licenses are attached to documentation or code, such licenses shall apply within the relevant scope.
Feedback, suggestions, improvement comments, diagnostic information, or issue reports that you submit to us may be used by us without restriction to improve, develop, commercialize, or operate the Platform, without payment to you or confidentiality obligations, unless otherwise agreed in writing by the parties.
12. Protection of User Personal Information
We will process your Personal Information in accordance with the SilvaMux International Platform Privacy Policy. That policy explains how we collect, use, share, store, transfer, protect, and delete User Personal Information, and the privacy rights you may have.
We may collect diagnostic, technical, and usage-related information that you provide, including information about your computer, mobile device, system, and software ("User Usage Data"). We may use, maintain, and process User Usage Data for Platform maintenance and operation to the extent permitted by law, including without limitation to:
(1) provide and maintain the Platform services; and
(2) improve our products and services or develop new products or services.
If you use the Platform on behalf of an enterprise customer or integrate the Platform into your own products, you shall be responsible for fulfilling data protection obligations toward end users. If these Terms are inconsistent with the SilvaMux International Platform Privacy Policy regarding Personal Information processing, the SilvaMux International Platform Privacy Policy shall prevail. If the parties separately execute a data processing agreement, enterprise order, security addendum, or other written agreement, such agreement shall prevail within its applicable scope.
13. Export Controls, Sanctions, and Compliance
You undertake to comply with export control, sanctions, anti-corruption, anti-money laundering, counter-terrorist financing, data protection, and other compliance laws and regulations applicable to the Platform, you, your Authorized Users, end users, and related transactions. You shall not use the Platform in or for any country, region, entity, person, or purpose subject to sanctions, embargoes, or export control restrictions.
You represent and warrant that neither you nor your Authorized Users are located in, controlled by, or acting on behalf of any sanctioned person, and that you will not use the Platform for prohibited end uses, including without limitation military, weapons, biochemical, nuclear, missile, surveillance, human rights abuse, or other restricted uses. Without permission from the relevant competent authorities, neither you nor any other individual or entity authorized by you to use the Platform will provide controlled products, technology, software, or services through the Platform to destinations, entities, or individuals prohibited by applicable export control and sanctions laws and regulations.
We may refuse, restrict, suspend, or terminate services based on sanctions, export controls, supplier policies, geographic restrictions, or compliance risks, and shall not be liable for doing so.
14. Service Changes, Interruptions, Termination, and Account Cancellation
We may change, interrupt, or terminate certain services due to maintenance upgrades, resource adjustments, upstream model changes, security risks, force majeure, supplier requirements, regulatory requirements, or business adjustments, and will provide notice through page announcements, console notices, emails, or other reasonable means where practicable. In cases of emergency security incidents, illegal risks, or sudden upstream failures, we may be unable to provide advance notice.
You may stop using the Platform and apply to cancel your account or close your organization through paths provided by the Platform. Before cancellation, you shall properly handle balances, orders, invoices, API Keys, organization members, project configurations, and data that need to be backed up. To protect account, organization, data, and fund security, your cancellation request will usually need to satisfy the following necessary prerequisites; otherwise, we reserve the right to defer or refuse processing:
- there are no outstanding debts, arrears, incomplete orders, unperformed contractual obligations, or unresolved refund or chargeback disputes within the account or organization;
- the account or organization is in normal status and is not subject to freezing, complaints, security incidents, ownership disputes, compliance investigations, or other disputes; and
- you have independently backed up Interaction Data, configurations, bills, and other information under the account that you need to retain, and you bear the risk of data loss caused by cancellation.
We may suspend, restrict, or terminate your access to all or part of the Platform in the following circumstances:
- you or your Authorized Users violate these Terms, third-party terms, developer documentation, or acceptable use rules;
- the account involves security risks, abnormal traffic, fraud, abuse, payment failure, arrears, chargebacks, or balance risks;
- continued provision of services may violate laws, regulatory requirements, sanctions, export controls, supplier requirements, or third-party rights;
- the Platform, Model Service Providers, cloud service providers, or payment service providers undergo security, technical, compliance, or business changes; or
- we cease operating relevant functions, models, suppliers, or service regions.
After service termination, you shall immediately stop using the Platform and related credentials. We will process the account and related data in accordance with law; transaction, tax, billing, log, security, audit, compliance, and dispute records required by law to be retained will not be immediately deleted due to cancellation. Even if your account is terminated for any reason, you shall remain bound by provisions of these Terms that by their nature should survive termination.
15. Third-Party Services
To provide complete services, the Platform may access services such as login, registration, email, payment, cloud infrastructure, and third-party models.
Third parties may independently process necessary information according to their rules. For authorization failures, SMS delays, payment abnormalities, model unavailability, or similar situations caused by third-party systems, networks, policies, or service adjustments, we will provide reasonable assistance, but shall not assume liability beyond that required by law for losses caused by third-party reasons not attributable to us.
If you access third-party services through the services or share your Interaction Data on any third-party service, you do so at your own risk, and you understand that these Terms do not apply to your use of any third-party service. You expressly release us from all liability arising from your access to and use of any third-party service.
16. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. Except as mandatorily required by laws and regulations, we do not warrant that the services will be uninterrupted, error-free, always meet specific needs, continuously available, virus-free, free of security vulnerabilities, accurate in output, non-infringing in output, or suitable for commercial use.
Any content downloaded, generated, received, or otherwise obtained through use of the Platform is obtained and used at your own risk. We shall not be liable for losses not caused by our fault, including network failures, carrier delays, upstream model abnormalities, third-party service interruptions, force majeure, User configuration errors, credential leakage, acts of Authorized Users, failure to conduct human review, or illegal use of services. The Platform does not warrant, endorse, guarantee, recommend, or assume responsibility for any product or service advertised or provided by any third party through the services or any hyperlinked website or service.
Users shall be responsible for liabilities arising from failure to review AI outputs, illegal use of services, violation of third-party terms, failure to obtain necessary authorizations, or infringement of third-party rights. If losses are caused to us or any third party as a result, the User shall bear corresponding liability in accordance with law.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, consequential damages, or loss of profits, revenue, goodwill, data, business opportunities, or cost of substitute services, even if we have been advised of the possibility of such losses.
To the maximum extent permitted by law, our aggregate liability for the same event or related series of events shall be capped at the fees actually paid by you to us for the directly related services during the twelve (12) months preceding the event. If you have not paid any fees, the cap shall be one hundred U.S. dollars (USD 100) or equivalent amount. This limitation shall not apply to personal injury caused by intentional misconduct or gross negligence, or other liabilities that cannot be limited by law.
17. Indemnification
To the extent permitted by law, you shall defend, indemnify, and hold harmless us and our affiliates, officers, employees, contractors, suppliers, and partners from and against any third-party claims, losses, liabilities, damages, fines, costs, and expenses arising out of or relating to:
- your or your Authorized Users' use of the Platform, Interaction Data, output content, or customer applications;
- your or your Authorized Users' violation of these Terms, third-party terms, developer documentation, or applicable law;
- your Interaction Data, output content, customer products, or end-user conduct infringing third-party rights or violating data protection obligations;
- your failure to obtain necessary authorizations, consents, licenses, notices, or lawful bases; or
- unauthorized use of your account, organization, project, API Key, or other credentials, except to the extent such unauthorized use is directly caused by our breach of these Terms.
18. Updates to Terms and Notices
We may update these Terms due to changes in laws and regulations, service functions, processing methods, prices, suppliers, compliance requirements, or business models. Updated Terms will be published on the website, console, or other appropriate locations and will indicate the update date. If changes materially affect your rights and obligations, we will use reasonable efforts to explain them through pop-ups, page notices, console notices, emails, or other reasonable means, and will obtain consent again where required by law.
Updated Terms shall take effect from the effective date published. If you do not agree to the updates, you may stop using the Platform and apply to cancel your account. Your continued use of the Platform after the updates take effect constitutes acceptance of the updated Terms.
We may send service, security, billing, pricing, agreement update, maintenance, or compliance notices through website announcements, console notices, the email address bound to your account, billing contacts, enterprise contacts, or other reasonable means. If notices cannot be delivered because you failed to update contact information in a timely manner, you shall bear the corresponding consequences, unless otherwise provided by law.
19. Governing Law and Dispute Resolution
The interpretation, validity, and performance of these Terms, and any dispute arising out of or in connection with these Terms, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding the existence, validity, or termination of these Terms, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules then in force, which rules are deemed to be incorporated by reference into these Terms. The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The law governing the arbitration agreement shall be the laws of Singapore.
20. Miscellaneous
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations under these Terms due to merger, division, reorganization, financing, asset transfer, affiliate operation, or business adjustment, and will notify you through reasonable means.
These Terms constitute the general agreement between you and us regarding the Platform. If you and we have executed an enterprise order, master services agreement, data processing agreement, security addendum, or other written agreement, such agreement shall prevail within its applicable scope.
If any part of these Terms is held invalid, illegal, or unenforceable, the validity of the remaining parts shall not be affected. Our failure or delay in exercising any right shall not constitute a waiver of that right. Section headings are for convenience only and shall not affect interpretation of these Terms.
21. Contact Us
- If you have any questions about these Terms, account security, billing, services, complaints, or suggestions, please contact us through the "Contact Us" entry on the website.
